About the role:
Bahar Energy Operating Company (BEOC), a SOCAR Group entity, is seeking an Ethics & Compliance Senior Advisor to establish, implement, and oversee the Ethics & Compliance framework. The role ensures adherence to applicable laws, Production Sharing Agreement (PSA) obligations, internal policies, and international best practices. This position plays a key role in strengthening the company’s governance and integrity framework, including the establishment of a formal Ethics & Compliance function.
Key accountabilities:
- Establish, implement, and maintain the Ethics & Compliance framework in line with applicable laws, PSA requirements, and internal governance standards.
- Review, update and implement E&C policies and procedures, including Code of Conduct, Anti-Bribery & Anti-Corruption, Conflict of Interest, Gifts & Hospitality, Whistleblowing and Non-Retaliation, and related controls.
- Conduct periodic compliance risk assessments across all business functions, including identification of high-risk areas related to government interaction, third parties, and procurement, and advise management on appropriate mitigation measures.
- Review Representative Office other internal policies and procedures from an E&C perspective and provide recommendations to ensure alignment with applicable laws, PSA obligations, and internal governance standards.
- Monitor compliance with internal policies, delegation of authority, and ethical standards, and identify potential compliance gaps or emerging risks and provide recommendations.
- Provide E&C advisory support to management and business functions.
- Establish and manage third-party compliance and due diligence processes for contractors, vendors, agents, and consultants.
- Develop and deliver E&C training programs to employees and relevant contractors to promote ethical culture and awareness.
- Manage whistleblowing reports and ethics complaints, and conduct or coordinate internal compliance investigations ensuring confidentiality, objectivity, and fair process.
- Prepare compliance reports, dashboards, and updates for senior management, highlighting key risks, incidents, and improvement actions.
- Coordinate closely with Legal function on matters involving potential legal exposure and with government affairs function on compliance aspects of government and regulatory interaction.
- Support internal and external audits, inspections, and reviews related to ethics, compliance, and governance matters.
- Monitor relevant legal and regulatory developments impacting ethics, compliance, and governance matters, and inform senior management, in coordination with the legal function.
Requirements & Qualifications:
- Higher education in Law, Economics, Business Administration, or a related discipline.
- Minimum 5 years ofexperience in ethics, compliance, risk management, internal controls, or governance functions.
- Prior experience in the Oil & Gas, energy, or industrial sector, preferably within PSA or joint-venture environments.
- Practical experience in establishing or developing ethics and compliance frameworks, policies, and controls.
- Proven experience in compliance investigations, third-party due diligence, and anti-corruption compliance.
- Strong understanding of the Azerbaijani regulatory, business, and government-interaction environment.
- High level of integrity, independence of judgment, and ability to work autonomously.
- Strong communication, presentation, and training skills.
- High proficiency in Azerbaijani and English; Russian will be considered as an advantage.
