Summary:
We are seeking a highly experienced and strategic Senior Corporate Lawyer to join our legal team in Baku, Azerbaijan, with a focus on the mining sector.  The successful candidate will provide expert legal counsel on complex matters related to corporate governance, compliance, commercial transactions, and risk management, ensuring the company’s operations align with both local and international legal standards.  A strong understanding of production sharing arrangements (PSAs) is essential.

Key Responsibilities:

• Provide comprehensive legal advice on a broad range of corporate and commercial issues, including mergers & acquisitions, joint ventures, corporate structuring, and high-value contracts, with a particular emphasis on the mining industry.
• Draft, review, and negotiate complex commercial agreements, including those related to production sharing arrangements and mining operations. 
• Ensure full compliance with all applicable Azerbaijani laws and industry-specific standards relevant to the mining sector. 
• Advise senior management and executive leadership on legal risks, corporate strategy, and regulatory developments affecting mining operations.
• Manage relationships with external legal counsel and regulatory authorities, particularly in matters involving mining licenses, environmental compliance, and PSAs. 
• Oversee and enhance corporate governance practices, including board and shareholder matters, with a focus on transparency and ethical conduct.
• Support due diligence processes, investment negotiations, and contract enforcement, especially in the context of mining projects and joint ventures.
• Develop, implement, and regularly update internal legal policies and procedures to reflect the best practices in the mining sector.
• Handle disputes, litigation, and regulatory investigations, including those related to environmental, safety, and operational compliance. 
• Stay abreast of changes in corporate, commercial, and mining-specific laws and regulations.

Qualifications:

• Law degree from a recognized institution; licensed to practice law in Azerbaijan.
• Minimum 6–8 years of experience in corporate law, with significant exposure to the mining sector or extractive industries.
• Demonstrated expertise in contract law, corporate governance, M&A, regulatory compliance, and production sharing arrangements.
• Excellent negotiation, analytical, and problem-solving skills.
• High level of integrity, discretion, and professionalism. 
• Strong leadership, communication, and interpersonal abilities. 
• Fluency in English and Azerbaijani is required; Russian language skills are an advantage. 

Preferred:

• Master’s in Law (LLM), MBA, or other relevant postgraduate qualifications.
• Prior experience working with multinational or publicly listed mining or extractive industry companies.
• In-depth knowledge of PSA agreements and their application in the mining sector.
