Role Synopsis:

  • The Corporate Secretary is responsible for supporting corporate governance processes, coordinating Board and committee activities, maintaining corporate records, and ensuring effective communication between management and stakeholders. The role also involves assisting with compliance-related matters, meeting coordination, documentation, and administrative support related to corporate governance activities.

Key Accountabilities:

  • Coordinate and organise Board and committee meetings, including scheduling, agenda preparation, and meeting logistics.
  • Prepare and maintain accurate meeting minutes, resolutions, and corporate records.
  • Ensure proper documentation and filing of corporate governance materials and confidential documents.
  • Support the implementation and monitoring of corporate governance policies and procedures.
  • Assist in maintaining effective communication between the Board, management, and relevant stakeholders.
  • Monitor deadlines related to governance activities and ensured timely follow-up on action items.
  • Provide administrative and coordination support for compliance and regulatory matters.
  • Maintain confidentiality and handle sensitive corporate information with professionalism.
  • Collaborate with different departments to ensure proper flow of governance-related information and documentation.

Desired background:

  • Bachelor’s degree in Law or Business Administration.
  • Previous experience as a Corporate Secretary, Executive Assistant, Governance Coordinator, or in a similar administrative role is an advantage.
  • Minimum 2–4 years of experience in corporate administration, governance, or executive support roles.
  • Experience working with senior management and confidential documentation is preferred.

Required skills:

  • Fluency in Azerbaijani and English languages are required.
  • Strong organisational, communication, and time-management skills.
  • Ability to manage confidential information with professionalism and discretion.
  • Strong attention to detail and ability to manage multiple tasks effectively.
  • Proficiency in Microsoft Office applications and office management tools.
