Role Synopsis:
- We are seeking a Lead Corporate Lawyer with strong expertise in corporate law, governance and commercial transactions, providing legal support to ensure compliant and efficient business operations. He/she will advise management on corporate structuring, shareholder matters, contracts, and regulatory requirements while mitigating legal risks and supporting strategic growth.
Key Accountabilities:
- Provide expert legal advice on corporate law matters, including corporate governance, shareholder relations, and corporate structuring.
- Manage changes to the statutory documents of the company.
- Coordinate and liaise legal matters with governmental authorities.
- Provide legal support to internal units of the company.
- Oversee preparation, review, and filing of corporate documents, resolutions, and statutory records.
- Advise management and on legal risks, obligations, and strategic decisions.
- Develop and maintain corporate policies, internal regulations, and governance frameworks.
- Identify and mitigate corporate legal risks, proposing practical and business-oriented solutions.
- Support cross-border operations and group structures with legally sound frameworks.
- Lead, mentor, and supervise junior legal staff, ensuring high legal standards and efficiency.
Desired background:
- Bachelor’s degree in law.
- Master’s degree in law is an advantage.
- Understanding of manufacturing processes.
Required skills:
- At least 3 years of experience in contract management and corporate law.
- Decision-making and problem-solving skills.
- Ability to manage multiple priorities.
- High level of accountability, resilience, and results orientation.
- Excellent communication skills.
- Azerbaijani, English, Russian – Fluent (spoken and written)
