Company: “VLand Systems” LLC (former “STP Metal Structures” LLC)
Key Responsibilities:
- Monitor, analyze, and assess changes in applicable legislation and regulatory requirements and prepare recommendations for their implementation within the Company;
- Inform relevant departments about legislative and regulatory changes and explain their key legal implications;
- Ensure the alignment of the Company's internal policies, procedures, regulations, and practices with applicable legislation;
- Review and provide legal opinions on policies, procedures, regulations, and contract drafts, recommending necessary amendments where required;
- Review draft resolutions, orders, directives, contracts, official letters, and other legal documents for compliance with applicable legislation and the Company's internal regulations;
- Draft, review, and conduct legal examination of contracts and standard contract templates, ensuring their compliance with applicable legislation and protection of the Company's interests;
- Prepare legal positions and recommendations regarding high-risk, complex, and strategically significant contracts and present them to management;
- Participate in the development, review, and implementation of contract templates and related legal documentation;
- Identify, assess, and monitor legal risks arising from the Company's activities and develop recommendations and preventive measures to mitigate such risks;
- Provide legal analysis of new projects, investment initiatives, transactions, and business models, identifying potential legal risks and regulatory requirements;
- Participate in preliminary legal due diligence of counterparties, business partners, projects, and transactions;
- Provide legal support in relation to the Company's litigation matters and participate in the preparation and review of relevant legal documentation;
- Provide legal support in preparing statements of claim, responses, motions, petitions, appeals, and other procedural documents;
- Analyze court decisions and participate in providing legal support during enforcement proceedings;
- Provide timely, well-reasoned, and practical legal advice to business units and management on legal and regulatory matters;
- Prepare legal opinions, memorandums, reports, legal analyses, and other advisory documents for management;
- Participate in establishing and maintaining professional relations with government authorities, regulatory bodies, counterparties, and other organizations on legal matters;
- Provide professional guidance and support to other Legal Specialists on complex legal matters and coordinate assigned legal activities when required;
- Contribute to the improvement of legal processes, standards, procedures, and contract templates within the Company;
- Perform other legal duties and assignments within the scope of the position as instructed by management.
Requirements:
- Bachelor’s degree in Law (Master’s degree is preferred);
- 3-4 years of experience as a Lead Legal Specialist; experience in the manufacturing/production sector is considered an advantage;
- Strong knowledge of the Code of Administrative Offences, Administrative Procedure Code, Civil Code, Criminal Code, Civil Procedure Code, Labor Code, and other legislation related to corporate law;
- Excellent proficiency in Microsoft Word and Outlook; good proficiency in Microsoft Excel; knowledge of other Microsoft Office applications is desirable;
- Language skills: Fluent/Excellent Azerbaijani and English; good command of Russian.

- 5-day work schedule;
