Job Summary:
A leading organisation in the mining sector is seeking a Head of Legal – Corporate Affairs to oversee corporate governance, compliance, and risk management. The successful candidate will serve as a strategic advisor to senior leadership and ensure full compliance with corporate, mining, and environmental laws. Expertise in Production Sharing Agreements (PSAs) is essential.

Responsibilities:

• Lead the legal function and provide strategic advice to the executive team.
• Oversee corporate governance, M&A, joint ventures, PSAs, and regulatory affairs.
• Represent the organisation in negotiations with authorities and key stakeholders.
• Ensure compliance with legal, ethical, and governance standards in mining operations.
• Draft, review, and negotiate high-level commercial agreements.

Requirements:

• Law degree and license to practice in Azerbaijan.
• Minimum 10 years of progressive experience in corporate law, with exposure to the mining/extractive sector.
• Strong knowledge of corporate governance, M&A, compliance, and PSAs.
• Proven leadership, communication, and negotiation skills.
• Fluency in English and Azerbaijani; Russian is an advantage.
